1. Definitions
- Platform: the relevant parts of the website or other apps and services operated by Us and hosting details of Opportunity/ies.
- Buyer or Client: any third party introduced via the Platform who requests quotes for works or services.
- Opportunity/ies: details of a job, work or project posted by or on behalf of a Buyer through the Platform.
- Introduction: the act of Our supplying contact details, a lead, or otherwise facilitating contact, between you and a Buyer subsequent to an Opportunity or otherwise.[EC3]
- Agreement: these Terms and Conditions and any schedule, annex or document expressly incorporated by reference.
2. Scope and applicability
- These Terms (alongside the general Website Terms and Conditions govern your access to and use of the Platform and all Introductions and Opportunities received through the Platform.
- By submitting the Expression of Interest Form in relation to the relevant Opportunity you are agreeing to be bound by these supplier sourcing terms and conditions.
3. Eligibility, registration and verification information
- By submitting an Expression of Interest Form on this Platform you confirm that:
- you are a business that is legally able to provide services and enter into contracts in England and Wales;
- you have provided accurate, complete and up-to-date information including company or business name, company registration number (if any), trading address and authorised contact details;
- you or a relevant employee(s) hold any certifications or accreditations required to deliver the works detailed in the Opportunity.
- We may perform background, identity, reference, credit, insurance or compliance checks on you.
4. Services, introductions and lead handling
- We provide a Platform through which Buyers can seek quotes and Introductions. We do not appoint or employ you. An Introduction is not a promise of work and we are not an agent either for you or any Buyer.
- You may review and respond to any Opportunity details posted to the Platform.
- You may be asked to confirm availability, capability and any compliance credentials required and must respond accurately and professionally and provide quotations that reflect your own terms, pricing and timelines.
- You will agree a clear scope of works with your Buyer prior to commencing work for the Buyer and use reasonable endeavours to enter into a written contract recording your agreements.
- Any contracts for works or services are exclusively between you and the Buyer. We are not a party to, and assume no liability for, any contract entered into between you and a Buyer.
- Introductions are non-exclusive and other suppliers are free to respond to Opportunities.
5. Your confirmations
- You warrant that: (a) you are suitably qualified, licensed and insured to perform any work quoted for and any Opportunities; (b) all information supplied to Buyers and to Us is accurate and not misleading; (c) you will comply with all applicable laws, regulations and industry standards including health and safety and environmental requirements in relation to all Opportunities; (d) you hold and will maintain valid public liability and professional indemnity insurance at levels appropriate to your trade and all work undertaken. You must provide evidence of insurance if requested to do so by Us.
- You must act professionally, respond to Buyers promptly and honour quotes and appointments, comply with all applicable anti-bribery and anti-corruption laws and act in good faith.
- You will undertake work in accordance with good industry practice for professional tradesmen and businesses operating in your field of expertise.
- We provide the Platform and Introductions on an "as is" basis and make no representation or warranty that any Opportunity will lead to work, that Buyers are truthful, or that you will be appointed by a Buyer.
- You indemnify and hold Us harmless from and against all losses, liabilities, costs, expenses and claims arising from: (a) your breach of these Terms; (b) negligent or unlawful acts or omissions by you in connection with work for a Buyer; (c) inaccuracies in information provided by you.
- We may publish ratings and reviews provided by Buyers you have worked with.
6. Data
- We will process personal data in accordance with applicable data protection law. By submitting an Expression of Interest, you consent to Our processing your and your personnel’s personal data for the purposes of operating the Platform, facilitating Introductions, billing, fraud prevention and regulatory compliance. Please refer to our Our Privacy Policy for further details.
- We retain all intellectual property rights in the Platform, its content, software and branding. You grant Us a non-exclusive, royalty-free licence to use your name, logo and profile information for the purpose of identifying you to Buyers and otherwise operating the Platform.
7. Termination
- We may suspend or terminate your access immediately to the Platform without cause
8. General provisions
- Nothing in these Terms creates an agency, joint venture, partnership or employment relationship between you and Us.
- These Terms, together with Our Privacy Policy and, constitute the entire agreement between the you and Us.
- If any provision is held invalid it will be removed and the remainder will remain in force.
